Please read the Official Rules carefully before submitting an entry or participating in the SEX LOUNGE Finding Derek CONTEST (“Contest”). The Official Rules (”Rules”)– comprised of this page, The Contest, and FAQs – contain important information about eligibility to enter the Contest, rules of the Contest, and other important information.

By entering this contest, you accept these Rules and agree to be bound by its terms and conditions. If you do not agree with the Official Rules or do not qualify to participate, please do not enter the Contest.

To Enter: A maximum of two photos and a completed entry form must be submitted via www.findingderek.com. In addition, Contest Entrants must call 214-615-6044×2913 to submit an audio clip that features the Entrant reciting the specified SEX LOUNGE excerpt. Entrants who do not submit an audio clip, entry form, and photo will not be entered into the Contest. Upon successful submission, Entrants will receive a confirmation email stating that their entry has been received. If the Entrant’s audio clip, entry form information, and photo are posted on www.findingderek.com, the Entrant will have a minimum of 3 weeks to complete a short video featuring the Entrant reading the specified SEX LOUNGE excerpt. The video is optional. Entrant may only enter himself. Entries will only be accepted via www.findingderek.com. All photos and video submissions must meet the specifications stated in the FAQs at www.findingderek.com. All entries, photos, audio clips, and video clips become property of the Contest and will not be returned.

Entrant represents and warrants that any information submitted is owned by the Entrant or used with the owner’s permission and does not infringe on any third party’s rights or defame or injure the reputation of any third party. If legal action results due to a breach of Entrant’s representations and warranties, the Entrant will indemnify and hold harmless Rachelle Chase (”Author”), Sponsor(s) (”Sponsors”), and/or Celebrity Judges (”Judges”) and will be liable for any costs associated with a defense thereof.

Any expenses incurred by the Entrant to participate in the Contest are the responsibility of the Entrant.

Deadline: Audio clips, photos and entry forms will be accepted from 12:01 a.m. PDT, 05/01/07 to 11:59 p.m. PDT, 07/04/07. If Entrant whose audio clip, photo(s), and entry form information has been posted at www.findingderek.com wishes to submit a video, the video must be received by 11:59 p.m. PDT 07/29/07.

Eligibility: Any male legal U.S. residents 21 years old (as of 05/01/07) or older may enter the Contest. There are no size, height or race restrictions. Employees of Author, Sponsors, and Judges, their parents, divisions, affiliates, subsidiaries and agents, and immediate families and household members of each are ineligible. Author and/or Judges’ decisions are final. Incomplete or inaccurate entries, as well as entries containing false information will be disqualified. Not withstanding the foregoing, eligibility is subject to any laws otherwise prohibiting an Entrant’s participation in the Contest. Therefore, this Contest is void where prohibited by law.

Finalists: From 08/07/07 to 08/28/07, web site visitors to www.findingderek.com will view the posted Entrants and vote for the winner. Web site visitors will use the Entrant’s audio clip, photo(s), video (if provided), and entry form information to select one winner and rate him in the following categories: appearance, voice, and essay answers. The top twelve Entrants selected by web site visitors will be the twelve finalists (“Finalists”). Total points in each category will be averaged for each Finalist. All Finalists will be notified by email, U.S. Mail, and telephone. The Finalists, along with their average points in each category, will be posted at www.findingderek.com on or about 08/31/07.

Winner: Judges will vote for the winning Derek 09/01/07-09/14/07. Judges will view each Entrant’s audio clip, photo(s), video (if provided), and entry form information and rate him on the following criteria: appearance, voice, and essay answers. The Finalist with the highest score will be the Winner, subject to compliance with the Rules. Judges will be those identified at www.findingderek.com. In event of a tie, entries involved will be re-judged according to the criteria listed above by the Author, who will serve as a tiebreaker.

Prizes: Winner/First Place Prize: SONY VAIO laptop computer. Second Place, Third Place, and all other prizes will be awarded by the Contest as identified at www.findingderek.com. SONY is not a Sponsor of the VAIO giveaway. The Author will not be liable for disputes arising from claiming of prizes from Sponsors and/or Judges. Taxes on prizes are winners’ sole responsibility. Prizes are non-transferable. Only potential Finalists/Winners will be notified. Prizes will be awarded by 12/31/07.

Use of Information: Each Entrant consents to the use of his name, likeness, information, submissions, and image by Author, Judges, and Sponsors and their agents and its agents assignees for display and publishing in any media, now known or hereafter developed, without compensation, in any and all advertising and promotional materials relating to the Contest, and in conjunction with other promotions that may be offered by the Contest. The information collected to enter the Contest will be used to contact the Winner. Additionally, each Entrant agrees that the Author, Sponsors, and Judges and their agents and assignees may use this information for marketing purposes and to contact applicants regarding offers, promotions, and other contests related to products or services distributed by Author, Sponsors, or Judges.

Licensing: By entering the Contest, the Entrant grants the Author, his agents, and assignees the following irrevocable rights throughout the World:

a) the right to copy, reproduce, and store Entrant’s image, text, audio recording, and video in any and all media for the purposes of the Contest;
b) the right to publicly perform or cause to be performed the Entrant’s image, text, audio recording, and video in any and all media for the purposes of the Contest;
c) the right to record and authorize others to record the Entrant’s image, text, audio recording, and video for the purposes of the Contest;
d) the right to synchronize the Entrant’s image, text, audio recording, and video with other visual images for the purposes of the Contest;
e) the right to use the Entrant’s name, likeness, and Content Entry form information for the purposes of the Contest;
f) the right to authorize others to do any or all of the above.

The expression “for the purposes of the Contest” referred to hereinabove includes:

a) copying, reproduction, public performance, and use on Contest website, www.findingderek.com and any other web site associated with the Contest or Author;
b) use in advertisements, commercials, and other promotions (whether in or out of context) for the Contest or Author; and
c) embodying the image, recording, text, and video in radio broadcasts, television, motion picture or Internet programs or other audio-visual productions synchronized with visual images for use in any and all media and in advertisements and promotions for such television programs or other audio-visual productions in connection with the Contest or Author.

General Rules: To the extent permitted by applicable law, the Contest and the Rules will be governed, construed, and interpreted under the laws of the state of California, USA. The Rules are subject to any requirements/limitations imposed by the Federal Communications Commission. The Rules are subject to change, however, every effort will be made to contact relevant parties of notice of such change. Entrants agree to be bound by the Rules and by the decisions of the Author, Sponsors, and Judges, which are final and binding in all respects.

The Contest is subject to Federal, state, provincial, and local laws and regulations. All decisions regarding the Contest, including but not limited to the Rules, eligibility, voting methods, voting results, disqualification determinations, and awarding prizes are at the Author’s sole and exclusive discretion, are final, binding, and are not subject to challenge or appeal. Author reserves the right to disqualify Entrants from the Contest for any reason in its sole discretion.

Author reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, technical failures or any other factor beyond the Author’s reasonable control affect the administration, security, or proper administration of the Contest or Sponsors or Judges otherwise become (as determined in their sole discretion) incapable of participating in the Contest as planned. Author and/or Sponsors reserve the right in their sole discretion to disqualify any individual found to be tampering with the registration process, voting process or the operation of the Contest or to be acting in violation of these Rules or any other promotion, or in an unsportsmanlike or disruptive manner.

Author’s failure to enforce any term of the Rules shall not constitute a waiver of that provision.

General Release: Author, Sponsors, nor Judges or their agents or assignees will not be responsible for: (a) technical failures of any kind, including but not limited to telephone, electronic, hardware, software, network, Internet, or any other computer or communications related malfunctions or failures; (b) any Contest disruptions, injuries, losses or damages caused by events, if any, beyond the control of Author, Sponsors, or Judges; or (c) any technical or human error including, without limitation, printing or typographical or administrative errors in any materials associated with the Contest.
